Our client has a permanent vacancy for a Legal Contracts Manager. Acting in an advisory position, lead the review and agreement of both new contracts and changes to existing contracts / renewals by being the main point of contract between clients (Commercial and Legal), Commercial, Operational and legal teams.

Be client focused at all times whilst ensuring compliance to regulatory and lawful obligations can be achieved against the contractual terms to be agreed.

Review client contracts or amendments to contracts, offering proactive solutions to areas of disagreement, prepare alterative contractual clauses and support negotiation.

Their market is fast moving and growth targets are aggressive. As a result, you can be managing multiple new contracts at any given time. They aim to use a standard company contract however depending on client industry there are inevitably changes requested which need to be assessed and responded to.

With the introduction of GDPR, many existing contracts are being reviewed to ensure that all parties are compliant with new legislation which is increasing workload

Whilst GDPR is prescriptive in its requirements, there is an element of interpretation with many clients that needs to be managed. In addition, not all clients fully understand the data flows of the business which can result in a misunderstanding of positioning which needs to be managed effectively.

Role

  • Liaise closely with the Head of Legal to gain advice and direction

  • Link with the business units to negotiate a wide range of contracts.

  • Draft, review and where necessary negotiate with clients and redraft contract terms.

  • Ensure our contract complies with GDPR and review external providers to ensure compliance.

  • Review any external client contracts to ensure compliance where the contract cannot be accepted by clients.

  • Gain understanding of the business position under the current legislation.

  • Understand legal policies on Privacy and Data Protection Agreements and other related requirements.

  • Give ad hoc advice to sales, administration, account managers on data issues.

  • Conduct conference calls with clients to negotiate contract position and occasionally go to client meetings.

  • Deliver training and explanation of related contract issues at internal meetings

  • Work closely with IT Security management to ensure compliance with processes and client requests.

  • Keep up to date with IT developments that will be part of the clients understanding of technical development and implications on contract terms.

  • Advise on "introducer" contracts and "intermediary" contracts to assist in crafting changes.

  • Manage the process flow of contracts back through the Sales and Account managers for them to record and gain signatures from clients.

  • To understand and comply with policies and procedures on Health and Safety at work.

  • Understand and comply with policies on information security and the use of computers.

  • To ensure compliance with all ISO27001 operating standards that impact upon your own and indirect teams work.

  • To perform any other duties as required, consistent with training and experience.

  • To work closely with the wider team. Key day-to-day stakeholders include (but are not limited to) Marketing, Operations, Finance, Intermediaries Director and Manager, Account Management team and Client Services team.

    Requirements

  • Knowledge of Global Data Protection Regulations.

  • Knowledge of the link between commercial contracts and GDPR essential.

  • Understand the products and the relevant legal requirements and HMRC compliance.

  • Knowledge of contract terminology and implications essential.

  • Ability to create strong and accurate written contract clauses to amend contract terms.

  • Experience of managing multiple relationships

  • Exceptional communication and people skills, with ability to engage effectively with clients and colleagues of all levels

  • Ability to deliver creative solutions to client problems, proactively resolves client queries to exceed expectations at every opportunity.

  • Understand all relevant legislation and the legal implications of the project they are leading
